Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you", "your", or "User") and AppGenie ("AppGenie", "we", "us", or "our") governing your access to and use of getappgenie.com and the AppGenie AI app builder (collectively, the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding contract to use the Service. By using the Service you represent and warrant that you meet these requirements and that the information you provide is accurate.

• You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
• You must notify us immediately at [email protected] if you suspect unauthorised access.
• One natural person or legal entity per account. You may not share or transfer your account without our written consent.
• We may require email verification before granting full access to the Service.

• The Service offers a free tier and paid plans. Current plans and features are listed on our pricing page.
• Paid subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date.
• Payments are processed by Polar, which is the merchant of record for your purchase. Your use of Polar's checkout is subject to Polar's terms.
• Except where required by law, all fees are non-refundable. Cancellation stops future renewals; access continues until the end of the paid period.
• We may change pricing or plan features with at least 30 days' notice. Changes apply at your next renewal.
• Usage credits, if any, are non-refundable, non-transferable, and forfeited on account termination for breach.

You own your project content. Subject to your compliance with these Terms, AppGenie assigns to you all right, title, and interest in the source code, files, and other artifacts that the Service generates from your prompts (collectively, "Generated Output"). You also retain ownership of any content you upload, attach, or input into the Service ("Your Content").

License you grant to us. You grant AppGenie a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, and process Your Content and Generated Output solely as necessary to (a) operate, secure, and maintain the Service, (b) provide you with the Service, and (c) comply with our legal obligations. We do not use Your Content or Generated Output to train general-purpose AI models.

Open-source and third-party components. Generated Output may include or depend on open-source software, libraries, or model weights subject to their own licences. You are responsible for complying with those licences in your use, distribution, and deployment of the Generated Output.

AppGenie uses third-party AI models to generate code, designs, and other artifacts. AI output may be inaccurate, insecure, infringing, or otherwise unsuitable for any particular use. You are solely responsible for reviewing, testing, and validating Generated Output before relying on it, deploying it to production, or releasing it to end users.

We do not guarantee that Generated Output will be original, free of third-party rights, free of security vulnerabilities, fit for any particular purpose, or compliant with any specific law or regulation. You must not use Generated Output without independent human review in high-risk or sensitive contexts, including medical, legal, financial, or safety-critical applications.

You agree that you will not, and will not permit anyone else to:

• Use the Service to generate, host, or distribute content that is unlawful, infringing, defamatory, obscene, harassing, or that violates the rights of others.
• Use the Service to generate or distribute malware, phishing kits, spam, or content that exploits or harms minors.
• Reverse engineer, decompile, or attempt to derive the source code, weights, or training data of any AI model used by the Service.
• Use bots, scrapers, or automated means to access the Service except via documented APIs.
• Use Generated Output to train a model that competes with the Service.
• Misrepresent Generated Output as exclusively human-created where doing so would be deceptive or harmful.
• Probe, scan, or test the security of the Service without our prior written consent.
• Resell, sublicense, or white-label the Service without a separate written agreement with us.
• Submit prompts or content that you do not have the legal right to submit.

We may suspend or terminate accounts that breach this Section. Repeat or severe breaches will result in permanent termination.

We aim to keep the Service available, but we do not guarantee uninterrupted operation. The Service depends on third-party providers (including hosting and AI model providers) and may be affected by their outages. We may modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

• You may terminate your account at any time from your account settings.
• We may suspend or terminate your account immediately for breach of these Terms, suspected fraud, security risk, or non-payment.
• We may terminate your account for convenience with at least 30 days' notice, with a pro-rata refund of any prepaid fees covering the period after termination.
• On termination, your right to use the Service ends. We will delete your account data within 30 days, except where retention is required by law or for fraud prevention. You are responsible for exporting Generated Output before termination.

AppGenie, the AppGenie logo, and the Service interface are the intellectual property of AppGenie. Nothing in these Terms transfers any AppGenie trademarks or branding rights to you.

If you believe content on the Service infringes your copyright, send a notice including the information required by 17 U.S.C. § 512(c)(3) to [email protected]. We follow a repeat-infringer policy and will terminate accounts of users who are determined to be repeat infringers.

THE SERVICE AND ALL GENERATED OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, APPGENIE DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT GENERATED OUTPUT WILL MEET YOUR REQUIREMENTS.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL APPGENIE OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID TO APPGENIE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) USD 100.

You agree to indemnify, defend, and hold harmless AppGenie and its affiliates, officers, directors, employees, and agents from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of or relating to (a) Your Content, (b) your use of Generated Output, (c) your breach of these Terms, or (d) your violation of any applicable law or third-party right.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts. Each party waives the right to a jury trial. The UN Convention on Contracts for the International Sale of Goods does not apply.

We may update these Terms from time to time. When we make material changes we will update the "Last updated" date and, where required, notify you by email or in-app notice. Continued use of the Service after a change indicates acceptance of the updated Terms. If you do not agree, you must stop using the Service.

• Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and AppGenie regarding the Service.
• Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
• No waiver. Our failure to enforce any right or provision is not a waiver.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
• Force majeure. Neither party is liable for failures caused by events beyond reasonable control.
• Survival. Sections 5, 6, 10, 11, 12, 13, 14, and 16 survive termination.
